Terms of Service
Operated by Spotted Squirrel Technology, LLC (Texas, USA)
1. Acceptance of Terms
By accessing or using snookapp.com, registering a tenant organization, accessing administrative tools, or booking appointments through Snook-hosted subdomains or embeddable booking widgets, you agree to be bound by these Terms of Service ("Terms"). These Terms form a binding agreement between you and Spotted Squirrel Technology, LLC ("Company", "we", "us"). If you do not agree to these Terms, you may not access or use the platform.
2. Description of Service
Snook is a proprietary Software-as-a-Service (SaaS) platform that enables businesses, organizations, and individual specialists to configure services, manage schedules, and accept client appointment bookings online.
3. Independent Relationship of the Parties
- Snook provides the technical software facilitating online appointment scheduling.
- Snook is not an employer, partner, or agent of any Tenant Organization. Any contract, appointment, or transaction formed through the platform is solely between the Tenant Organization and its end Client. The Tenant Organization is solely responsible for fulfilling booked services, determining pricing, establishing cancellation or refund policies, and ensuring specialist qualifications.
4. Account Registration, Eligibility & Age Restrictions
- Account Holders & Administrators: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to register an organization account, manage a tenant portal, or enter into this agreement.
- End Clients & Booking Users: Users must be at least 13 years of age to book appointments or create client accounts. Individuals between 13 and 17 years of age may use the platform only with the consent and supervision of a parent or legal guardian. Children under 13 are strictly prohibited from using the service or submitting personal information.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorized use or security breach involving your account.
5. Subscriptions, Fees & Billing
- Platform Subscription Plans: Access to Snook features is determined by the selected subscription tier (e.g., Starter, Professional, Business, Enterprise) as configured in the platform catalog.
- Recurring Billing: Subscriptions are billed in advance on a recurring monthly or annual basis unless canceled prior to the renewal date.
- Appointment & Event Booking Fees: Standard appointment scheduling through Snook does not assess per-booking processing fees. When event ticket booking capabilities are activated, payment processing may be facilitated through Stripe Connect. When using Stripe Connect, payments are processed directly by Stripe subject to the Stripe Connected Account Agreement, and the Tenant Organization acts as the merchant of record responsible for refunds and chargebacks.
- Taxes: All fees are exclusive of applicable federal, state, local, or sales taxes, which will be added where applicable.
6. Acceptable Use & Conduct
You agree not to use the platform to:
- Violate any federal, state, local, or international law or regulation.
- Send unsolicited bulk communications (spam), phishing attempts, or unauthorized marketing messages in violation of the TCPA, CAN-SPAM, or CTIA guidelines.
- Attempt to compromise, probe, or breach platform security, reverse engineer application source code, or attempt unauthorized access to other tenant databases.
- Transmit malicious code, viruses, or destructive scripts.
- Post defamatory, fraudulent, infringing, or harmful content.
7. SMS and Transactional Messaging Compliance
Organizations utilizing SMS appointment notifications via Pingram agree to:
- Obtain and maintain demonstrable consent from clients before dispatching SMS notifications.
- Ensure automated opt-out keywords (such as "STOP") are honored immediately.
- Refrain from sending promotional or non-transactional messages over transactional reminder channels.
8. Intellectual Property Rights
- Platform Ownership: All software, code, algorithms, interface designs, trademarks, logos, and documentation associated with Snook are the exclusive proprietary property of Spotted Squirrel Technology, LLC. No ownership rights are transferred to you.
- Tenant Content: Tenant Organizations retain all ownership rights to their proprietary business information, logos, customer lists, and service descriptions uploaded to their tenant database.
9. Disclaimers & Limitation of Liability
- "As-Is" Warranty Disclaimer: The platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
- Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Spotted Squirrel Technology, LLC, its members, managers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business opportunities) arising out of or in connection with your use of Snook.
- Liability Cap: In all circumstances, the aggregate liability of Spotted Squirrel Technology, LLC for all claims arising under these Terms shall not exceed the total subscription fees paid by you to Snook in the twelve (12) months preceding the event giving rise to liability.
10. Termination and Data Lifecycle
- Cancellation by Tenant: You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the paid billing period: for a monthly subscription, the end of the current billing month; for an annual subscription, the end of the current annual term. Your organization keeps access to the platform until then, after which the account is disabled and no further charges are made.
- Refunds: Monthly subscription fees are not refunded for partial billing months. An organization on an annual subscription may request a partial refund of its annual payment by contacting us. Each month used, including the current month, is charged at the plan's standard monthly rate, and the difference between that amount and the annual payment is refunded. For example, if five (5) months have been used, five (5) months at the monthly rate are retained and the remainder of the annual payment is returned. If the monthly charges for the months used equal or exceed the annual payment, no refund is due. When a partial refund is issued, the subscription ends at the end of the last month charged and the account is disabled.
- Grace Period & Purge Schedule: Tenant Organizations are granted a thirty (30) day grace period after the account is disabled to request temporary access to export customer and appointment data. Tenant databases are maintained in a disabled state for six (6) months after the account is disabled, after which all tenant databases and records are permanently and irreversibly purged from our active systems.
- Termination for Breach: We reserve the right to suspend or terminate accounts immediately upon material breach of these Terms or non-payment of subscription fees.
11. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Texas, United States, without giving effect to any principles of conflicts of law. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for the resolution of any dispute arising under these Terms.
